Terms of Service
These Terms of Service ("Terms") govern your use of the services provided by Meridian AI Automation LLC ("Meridian Growth," "we," "our," or "us"). By engaging our services or signing a service agreement with us, you agree to these Terms in full.
1. Services
Meridian Growth provides revenue automation services to local service businesses, including but not limited to: automated SMS text-back systems, review request automation, dormant client reactivation campaigns, and monthly performance reporting. Services are configured and deployed using the GoHighLevel (GHL) platform.
The specific services, pricing, and term length applicable to your engagement are set out in your signed Service Agreement. These Terms apply alongside and are incorporated into that agreement.
2. Eligibility
You must be at least 18 years old and a legal business owner or authorized representative of a business to engage our services. By agreeing to these Terms, you represent that you have the authority to bind your business to this agreement.
3. Client Responsibilities
You agree to:
Provide accurate and complete business information during onboarding
Ensure your customers have consented to receive SMS communications from your business
Comply with all applicable laws, including the TCPA and CAN-SPAM Act
Maintain an active, publicly accessible business website for SMS carrier compliance
Respond to onboarding requests within a reasonable timeframe to allow timely deployment
Not use our services to send spam, harassment, or illegal content of any kind
You are solely responsible for the content of your business communications, the accuracy of your business information, and obtaining all necessary consents from your customers. Meridian Growth is a service provider and is not liable for your failure to comply with applicable law.
4. Payment Terms
Pricing is set out in your Service Agreement. Payment is processed through Stripe. For Pilot Partner agreements, a 30-day free trial is provided from the date of activation, after which your agreed monthly fee is charged automatically on a recurring basis.
Your rate is locked for the duration of your pilot term (90 days) and will not increase without 30 days written notice. You authorize Stripe to charge your payment method on file on a monthly basis until you cancel in accordance with Section 5.
All fees are non-refundable except where required by law or as explicitly stated in your Service Agreement.
5. Cancellation and Termination
Either party may cancel the service agreement with 30 days written notice after the completion of the minimum term specified in your Service Agreement. During the minimum term, early cancellation may result in a cancellation fee as set out in your Service Agreement.
We reserve the right to terminate your account immediately and without notice if you violate these Terms, engage in illegal activity, or misuse our systems in a way that could harm other clients or third parties.
Upon termination, your GHL sub-account and all associated automations will be deactivated. You will receive your monthly performance report up to the cancellation date.
6. Intellectual Property
All automation systems, workflow templates, SMS copy, and methodology developed by Meridian Growth remain the intellectual property of Meridian AI Automation LLC. You are granted a limited, non-transferable license to use these systems for your business during the term of your agreement.
Any business data, customer contact records, and content specific to your business remain your property. Upon termination, we will provide reasonable assistance in exporting your contact data from GHL.
7. Case Studies and Testimonials
With your written permission, Meridian Growth may use anonymized performance data from your account for marketing purposes, including case studies and benchmarks. We will never identify your business by name without your explicit consent. Consent is requested separately and is not a condition of service.
8. Limitation of Liability
Meridian Growth's services are provided to assist your business in recovering and retaining revenue. Results are not guaranteed. Performance benchmarks and estimates shared in our marketing materials are industry averages and may not reflect your individual results.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERIDIAN AI AUTOMATION LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 3 MONTHS PRIOR TO THE CLAIM.
9. Indemnification
You agree to indemnify and hold harmless Meridian AI Automation LLC, its members, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any law, or your misuse of our services.
10. Third-Party Platforms
Our services depend on third-party platforms including GoHighLevel, Stripe, and Twilio. We are not responsible for outages, changes, or failures of these platforms. We will make reasonable efforts to notify you of any significant disruption to your service.
11. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be resolved in the courts of Miami-Dade County, Florida.
12. Changes to These Terms
We may update these Terms periodically. Active clients will be notified by email at least 30 days before any material changes take effect. Continued use of our services after that date constitutes acceptance of the updated Terms.
13. Entire Agreement
These Terms, together with your signed Service Agreement, constitute the entire agreement between you and Meridian AI Automation LLC. They supersede any prior discussions, representations, or agreements.
